1. Definitions
1.1 In these Terms:
“Clearance Pallet Outlet” means Clearance Pallet Outlet Limited including any authorised representatives.
“Buyer” means any business, trader, reseller, company, sole trader, partnership or commercial purchaser placing an order with Clearance Pallet Outlet.
“Goods” means any pallet, stock lot, clearance stock, returned goods, surplus stock, wholesale goods or any products sold by Clearance Pallet Outlet.
“Order” means any order placed by the Buyer whether online, by telephone, email, in person, or by any other method accepted by Clearance Pallet Outlet.
“Premises” means any premises where the Goods are stored, inspected, or collected.
“Contract” means the contract formed between Clearance Pallet Outlet and the Buyer upon acceptance of an Order.
“VAT” means Value Added Tax chargeable under UK law.
“Working Day” means any day that Clearance Pallet Outlet is open for business.
1.2
These terms apply to all sales and supersede any terms proposed by the Buyer unless agreed in writing.
1.3
By placing an Order, the Buyer confirms acceptance of these Terms.
1.4
All sales are strictly business-to-business (B2B) transactions only.
1.5
By purchasing Goods, the Buyer warrants and confirms that they are acting wholly in the course of business, trade, or profession and not as a consumer.
2. Basis of Sale
2.1
All Goods are sold strictly on a trade-only basis.
2.2
The Buyer acknowledges that the sale is not a consumer sale and that the Consumer Rights Act 2015 shall not apply.
2.3
Goods are sold as seen, as inspected, and with all faults.
2.4
Clearance Pallet Outlet makes no guarantees regarding:
- exact quantities;
- condition;
- completeness;
- resale suitability;
- brand authenticity unless expressly stated;
- functionality;
- packaging condition.
2.5
Descriptions, manifests, stock lists, photographs and images are provided as a guide only and may not accurately reflect the Goods supplied.
2.6
Any description outside of the main material characteristics is given in good faith only and shall not form part of the Contract.
2.7
The Buyer is responsible for satisfying themselves as to the quality, quantity and condition of Goods prior to purchase.
2.8
No warranty is given unless expressly stated in writing.
3. Orders
3.1
All Orders are subject to acceptance by Clearance Pallet Outlet.
3.2
Clearance Pallet Outlet reserves the right to refuse or cancel any Order at its sole discretion.
3.3
Availability of stock is not guaranteed until payment has been received in full.
3.4
Stock may be withdrawn from sale at any time without notice.
4. Payment
4.1
Payment must be made in full before Goods are released unless agreed otherwise in writing.
4.2
All prices are exclusive of VAT unless otherwise stated.
4.3
VAT will be added where applicable.
4.4
Payment must be made in GBP Sterling.
4.5
Failure to make payment within the agreed timescale may result in cancellation of the Order.
5. Collection and Delivery
5.1
Goods must be collected within the agreed timeframe.
5.2
Storage charges may apply to Goods not collected on time.
5.3
Collection is entirely at the Buyer’s risk and expense.
5.4
Where delivery is arranged:
- risk passes on delivery;
- shortages or incorrect Goods must be reported upon delivery, accepting delivery accepts the stock is as ordered.
5.5
No claims for shortages, damages or incorrect Goods will be accepted after the delivery driver leaves your premises.
6. Risk and Title
6.1
Risk in the Goods passes to the Buyer upon collection or delivery, whichever occurs first.
6.2
Legal title to the Goods shall not pass until all monies due have been paid in full.
6.3
Until title passes, Clearance Pallet Outlet reserves the right to recover Goods.
7. Buyer Responsibilities
7.1
The Buyer is responsible for ensuring suitable transport, manpower and equipment for collection.
7.2
The Buyer shall comply with all health and safety requirements when collecting Goods.
7.3
The Buyer shall indemnify Clearance Pallet Outlet against any loss, damage, injury or claims arising from collection, transport, storage or resale of the Goods.
8. Returns and Refunds
8.1
Due to the wholesale, clearance and liquidation nature of the Goods, all sales are final.
8.2
No returns, refunds or exchanges will be accepted except where agreed at the sole discretion of Clearance Pallet Outlet.
8.3
No refunds will be issued for:
- change of mind;
- unsold stock;
- lower than expected resale value;
- damaged or incomplete items where sold as seen.
9. Limitation of Liability
9.1
Clearance Pallet Outlet shall not be liable for:
- indirect losses;
- loss of profits;
- loss of business;
- loss of resale opportunities;
- consequential losses.
9.2
Liability for any claim shall be limited to the purchase price paid for the Goods.
9.3
Nothing in these terms excludes liability for fraud or death/personal injury caused by negligence.
10. Intellectual Property
10.1
Product images, descriptions and website content remain the property of Clearance Pallet Outlet unless otherwise stated.
10.2
The Buyer may not reproduce website content without written permission.
11. General
11.1
If any term is found unenforceable, the remaining terms shall remain in force.
11.2
These terms constitute the entire agreement between the parties.
11.3
No variation shall be valid unless agreed in writing.
11.4
These Terms shall be governed by the laws of United Kingdom.
11.5
The courts of England and Wales shall have exclusive jurisdiction.
12. Manifest Disclaimer
Where manifests, stock lists or estimated retail values are provided:
- these are supplied by third parties or based on supplier information;
- Clearance Pallet Outlet does not guarantee their accuracy;
- shortages, substitutions and variances may occur;
- estimated retail values are indicative only and should not be relied upon.
